Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the FleetAgent AI website at fleetagentai.com (the "Site") and, where applicable, the FleetAgent AI voice agent service (the "Service"). The Site and the Service are operated by HummingAgent ("HummingAgent," "we," "us," or "our"). By using the Site or the Service, you agree to these Terms. If you do not agree, do not use the Site or the Service.
1. The Service
FleetAgent AI is an AI-powered telephone answering and intake service for fleet and logistics operations. It answers calls, identifies caller types, captures structured details, routes or escalates calls according to client-defined rules, books maintenance and service windows where configured, and produces call logs, transcriptions, and summaries. The specific scope of the Service for any client is defined in a separate written agreement or order between that client and HummingAgent (a "Client Agreement"). If there is a conflict between these Terms and a Client Agreement, the Client Agreement controls for that client.
2. Eligibility and accounts
The Site and the Service are intended for businesses and business users. You must be at least 18 years old and able to form a binding contract to use them. If you use the Site or the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
3. AI disclosure and call recording
Calls answered by the Service are handled by an artificial intelligence assistant. Callers are informed at the start of a call that they are speaking with an AI assistant. Calls may be recorded and transcribed; where recording is enabled, callers are notified. Clients are responsible for ensuring that their use of call recording and transcription complies with the laws that apply to their business and their callers, including any consent requirements.
4. Acceptable use
You agree not to:
- Use the Site or the Service in violation of any applicable law or regulation.
- Attempt to probe, scan, disrupt, overload, or gain unauthorized access to the Site, the Service, or related systems.
- Use the Service to record or collect information from callers without required notices or consents.
- Misrepresent the Service as a human operator or remove or suppress its AI disclosures.
- Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law or a Client Agreement.
5. Client responsibilities
Clients are responsible for the accuracy of the configuration information they provide, including escalation contacts, routing rules, booking rules, and business information used to answer caller questions. The Service acts on the rules the client defines. Clients remain responsible for their own operations, dispatch decisions, safety procedures, and regulatory compliance, and for maintaining appropriate fallback procedures for emergencies.
6. Not an emergency service
The Service is not a substitute for emergency services. It does not place calls to 911 or equivalent emergency numbers. Escalation features route calls to client-designated contacts and depend on those contacts being reachable. In a life-threatening emergency, callers should hang up and dial their local emergency number.
7. Intellectual property
The Site, the Service, and all related software, designs, text, and branding are owned by HummingAgent or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Site for its intended purpose. No other rights are granted. Feedback you provide about the Site or the Service may be used by us without restriction or obligation.
8. Client data
As between the parties, clients retain ownership of the call data, recordings, transcriptions, and business information generated on their behalf. Clients grant HummingAgent the rights needed to operate, secure, and improve the Service. Our handling of personal information is described in our Privacy Policy.
9. Fees
Use of the Service requires a paid engagement scoped per fleet and documented in a Client Agreement. Fees, billing terms, and any trial arrangements are set out in that agreement. Browsing the Site is free.
10. Disclaimers
THE SITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HUMMINGAGENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED TRANSCRIPTIONS AND SUMMARIES MAY CONTAIN ERRORS, AND TELEPHONE AND NETWORK SERVICES MAY EXPERIENCE INTERRUPTIONS. WE DO NOT WARRANT THAT THE SITE OR THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HUMMINGAGENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO HUMMINGAGENT FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless HummingAgent and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
13. Termination
We may suspend or terminate access to the Site or the Service if you breach these Terms or if we reasonably believe your use poses a risk to us, our clients, or others. Client subscriptions terminate as provided in the applicable Client Agreement. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from these Terms or the Site will be resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction, unless a Client Agreement specifies otherwise.
15. Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Site or the Service after changes take effect constitutes acceptance of the updated Terms.
